General Policy

This Policy contains the terms and conditions that apply to purchases by Customers from the Denttio entity named on the Purchase Agreement ("Denttio") that will be provided to Customer ("Customer") on orders Denttio products and support sold by Denttio in the United States. By signing this Agreement, Customer agrees to be bound by and accepts the following terms and conditions:

Agreements: All terms and conditions may NOT be altered, supplemented, or amended by the use of any other document(s). Any attempt to altercation of the document will make the transaction become null and void. Any quotations or proposed Purchase Agreement given by Denttio will be valid for one (1) week, unless otherwise stated. Customer agrees that this Agreement contains the complete agreement between Denttio and Customer as pertains to the purchase and sale concerned in this Agreement, and that no verbal implication will be acceptable.

Payment Terms: All payments must be pre-paid. Payment for the products, services, and support may be in theform of a check, credit card, wire transfer, financing, or other prearranged payment method Denttio has agreed. Invoices are due and payable within the time frame noted on the Purchase Agreement, measured from the date of the invoice. A late fee of 12% on the unpaid balance, or if less, the maximum fee allowed by law, will be assessed on any past due payment. If any payment is past due or if Customer breaches any condition of this Agreement, Customer will be in default. Customer will be responsible to pay all costs in connection with paymentcollection and, including but not limited to, costs, damages, judgments and any legal expenses including attorney’s fees.

Shipping Charges, Taxes: Separate charges for shipping and handling will be shown on the invoice(s). The Customer is responsible for sales and all other taxes associated with the order. If applicable, a separate charge for taxes will be shown on the invoice.

Title, Risk of Loss: Title to products passes from Denttio to Customer on shipment from Denttio's facility. Loss or damage that occurs during shipping by a carrier selected by Denttio is Denttio's responsibility. Loss or damagethat occurs during shipping by a carrier selected by Customer is Customer's responsibility. Title to software will remain with the applicable licensor(s).

Loupes: For all loupes are custom-made for each individual’s specific measurements, the loupes cannot be returned for refund.

Software License: Denttio owns all copyrights of the Software incorporated into the product. Customer obtainsno rights other than the expressed license to use granted hereunder. Further, no transfer of the software will beallowed unless authorized by Denttio.

Warranties: The limited warranties for product are 12-month from the invoice date; however, Denttio does not offer verbal express warranty whatsoever. The warranties will be effective only after the payment is made in full. Denttio owns all parts removed from repaired products. Denttio uses new and reconditioned parts made by various manufacturers in performing warranty repairs and building replacement products. The warranty term is not extended when Denttio does repairs or replacements of a product. When Denttio does out of warranty services, Denttio will warrant 30 days on refurbished items and 5 days on repairs, unless otherwise offered. Also, when Denttio sells refurbished, 2nd hand (used) products to Customer, Denttio will warrant 30days from the date it was shipped. The original and extended warranties will cover products for the original customer andcannot be transferred/assigned to anyone. Warranty and Support for any "factory-installed" and “third-party” software and hardware is provided by the original manufacturer. Factory installed software includes the operating system and some of the software applications that are preinstalled on the system during the manufacturing process (e.g., Microsoft products, 3rd Party Anti-virus programs, etc.). The third-party hardware includes computers, monitors, keyboards, mice, printers, networking devices and all associated cablings.

Product and Manufacturer Warranties: Warranties and technical support may vary from product to product. DENTTIO guarantees DENTTIO products, material and workmanship for a period a full year from the date of invoice, unless otherwise stated. During the warranty period, Denttio will repair or replace without charge any defective part if such defect results from normal service and is not the result of apparent misuse, abuse or accident. Customer will pay the shipping and handling charges. Need to add warranty provisions.

Training: The length of standard training is 2 hours per session, unless otherwise stated. Customer may request, at a fee, additional training.

Installation: Installation does not include any construction, modification or demolishment of a part or in whole of existing structure that requires a licensed contractor to complete.

Wireless Network: The actual performance of the wireless network depends on a number of factors: the placement and type of the wireless device, the shape of the office building and structure and building material used. Denttio may suggest hard-wiring of the network at customer’s expense, if the wireless connection is not adequate.

Insurance: Upon receipt of the Product, Customer is strongly recommended to obtain a general public liability insurance policy with business personal property coverage, which will protect Customer from the risk of loss, any destruction of and damage to the Product.

Disclaimer: Denttio makes every effort to be accurate; however; Denttio cannot be responsible for misprints or typographical errors. Actual images of products may be different from the images in the advertisements, flyers orcatalogs. Performance and Quality of the output may vary depending on the type of system, equipment, printer, output materials and configuration settings. The digital instruments and equipment are high quality, but sensitive devices, and must be treated with care and reasonable caution. Any visible damage to the digital instrument/equipment will not be covered under warranty. Also, it is the customer’s responsibility to provide adequate systems/environment as recommended by Denttio, such as Computers, Monitors, Printers, Network, etc.

Limited Liability: Denttio does not accept liability beyond the remedies set below, including any liability for products not being available for use or for lost or corrupted data, or the provision of services and support. Denttio will not be liable for lost profits, loss of business or other consequential, special, indirect, or punitive damages. Customer agrees that for any liability related to the purchase of products or services bundled with the products, Denttio is not liable or responsible for any amount of damages above the aggregate dollar amount paid by Customer for the purchase of products or services under this agreement. If a defect is claimed, Denttio’s sole responsibility is limited to the replacement of the material, repair, or at Denttio’s option a company credit for the purchase price. Furthermore, Denttio will NOT be held liable for computers and peripherals not purchased from Denttio nor the performance of software installed in those computers.

Product/Pricing: DENTTIO reserves the right to change, upgrade, improve or discontinue products at any time without notice or obligation. Prices are subject to change without notice. In the event any item(s) becomesunavailable, DENTTIO will supply like products of like value.

Shipping & Handling: All shipments are FOB point of origin. Denttio ship UPS Ground unless instructed otherwise. Overnight service is available at additional cost. Shipping charges are added to each order. All claims for shortages of ordered items must be made immediately upon receipt. No claims for shortage of ordered items will be accepted after 5 working days from date of receipt. If the product is defective or arrived damaged, please call customer service dept. or Sales Dept to determine what should be done. If damage is evident at time of delivery, require that the delivery person acknowledge, in writing, the extent of the damage orloss, both on Customer's copy and his copy of the freight bill and his copy of the delivery receipt. Also, Customer must save product(s) and packaging, take pictures of the condition of the package.Damaged freight claims must be made by the receiving customer. If there are questions regarding damaged shipments, call DENTTIO immediately.

Returns: No returns will be accepted for refunds. However, DENTTIO will accept products for exchange or refund on a case-by-case basis upon DENTTIO'S approval and with a prior thorough consideration. The procedures are as follows:

  • Returns are accepted within 30 days from the invoice date upon the Management Approval. However, a restocking fee of 25% of the normal listed price will be applied on all returned products that are not damaged. Physical inspection of the products may be required.
  • Contact our Return Dept. for a return authorization number. No products will be accepted or credit will be issued without this number.
  • Return Authorization Number will be valid for 10 days from the date of issuance. Products returned withan expired return authorization number will not be accepted for any refund.
  • Products must be in their original packaging and resalable. Care should be taken in packing return items to ensure that they will be received in the same condition as when they leave Customer's premises. Damaged products will be not accepted for return or exchange.
  • eturn the product shipping prepaid and insured full amount.

NO RETURNS can be accepted on PROMOTIONAL/DEMO, SPECIALLY ORDERED or CUSTOM MADE items.

Service and Support: Denttio will provide general technical support for Denttio Products ONLY to Customer in the United States. Technician-assisted Technical Support requires the cooperation and participation of the customer in the troubleshooting process and as well as the verification of appropriate functionality of the system unit. Additional Technical Support options may be available for purchase. Technical Support is available from 9:00 a.m. to 5:00 p.m., Pacific Standard Time, from Monday through Friday, except for holidays.Support for any "factory-installed" and "third-party" software and peripherals is provided by the original manufacturer, including those purchased through DENTTIO.Factory installed software includes the operating system and some of the software applications that are preinstalled on the system during the manufacturing process (e.g., Microsoft Office, Norton Anti-virus, etc.).Factory installed peripherals include any internal expansion cards, or option bay or PC card accessories. In addition, any monitors, keyboards, mice, speakers, microphones for telephonic modems, docking stations/port replicators, networking products and all associated cabling are included. Third-party software and peripherals include any peripheral, accessory or application such as printers, scanners, cameras, games, etc. sold by DENTTIO. Support for all third-party software and peripherals are provided by the original manufacturer of the product.

Denttio has no obligation to provide service or support until Denttio has received full payment for the product or service/support contract for which service or support is requested.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of California. Customer expressly and unconditionally consents to the jurisdiction and venue of any court in the Los Angeles County, State of California and waive right to trial by jury for any claim or action arising out of or relating to this Agreement or the Equipment. Furthermore, Customer waives the defense of inconvenient forum. The Federal and State Courts resident in Los Angeles, California shall have exclusive jurisdiction to adjudicate any dispute arising under or out of this Agreement.
